By accessing or using OpenVendi ("we," "us," "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the platform. We reserve the right to update these terms at any time. Continued use after changes constitutes acceptance.
OpenVendi is an online marketplace that connects independent sellers with buyers. We provide tools for listing items, processing payments via Square, shipping via Shippo, and managing orders. We are not a party to transactions between buyers and sellers — we facilitate them.
You must be at least 18 years old to create an account. You are responsible for maintaining the security of your account credentials. You agree to provide accurate, current information. We reserve the right to suspend or terminate accounts that violate these terms, engage in fraud, or harm other users.
Sellers are responsible for: (a) accurately describing all listings including condition, dimensions, and any defects; (b) fulfilling orders within their stated processing time; (c) providing valid tracking information when shipping; (d) responding to buyer messages within a reasonable time; (e) complying with all applicable laws regarding the items they sell. Sellers may not list prohibited items including counterfeit goods, illegal substances, weapons, adult content, or items that infringe intellectual property rights.
Buyers are responsible for: (a) reading listing descriptions fully before purchasing; (b) providing accurate shipping addresses; (c) paying for orders promptly; (d) filing disputes within 30 days of purchase if an item is not received or not as described. Buyers agree not to file fraudulent chargebacks or abuse the dispute process.
OpenVendi charges a 1% platform fee on each completed transaction. Card processing fees of 3.9% + $0.30 per transaction are added to the buyer's total at checkout and collected by Square. There are no listing fees. Shipping label costs are deducted from seller payouts. We reserve the right to change our fee structure with 30 days notice.
All card payments are processed by Square. OpenVendi collects the full payment from the buyer and remits the seller's share within 3 business days after the order ships, subject to a 3-day fraud hold. Payouts are sent via the seller's chosen method (PayPal, Venmo, Cash App, or Zelle). OpenVendi is not responsible for delays caused by third-party payment processors.
If a buyer does not receive an item or the item is significantly not as described, they may file a dispute through OpenVendi within 30 days of purchase. OpenVendi will review evidence from both parties and may issue a refund at our discretion. Decisions are final. Abuse of the dispute system may result in account suspension.
You may not use OpenVendi to sell or purchase: counterfeit or stolen goods, illegal drugs or controlled substances, weapons or dangerous items, adult content, live animals, recalled products, or items that infringe copyright or trademark. You may not engage in fraud, harassment, spam, or any activity that disrupts the platform.
You retain ownership of content you post. By posting, you grant OpenVendi a non-exclusive, royalty-free license to display and distribute your content on the platform. You represent that you own or have rights to all content you post, including photos and descriptions.
OpenVendi is provided "as is." We make no warranties about the quality, safety, or legality of items listed. We are not liable for any indirect, incidental, or consequential damages arising from use of the platform. Our total liability to you shall not exceed the fees paid to us in the 3 months preceding the claim.
These terms are governed by the laws of the State of Texas, United States. Any disputes shall be resolved in the courts of Collin County, Texas.
